| These Terms apply to authorised users of Operis. If your organisation has a separate written agreement with Bigeen Solutions, that agreement will govern to the extent of any inconsistency with these Terms. |

1. About Operis
Operis is a business-to-business operational reporting and intelligence platform developed and operated by Bigeen Solutions ("Bigeen", "we", "us" or "our"). Operis provides tools for operational data capture, dashboards, reporting, trend analysis, issue tracking, branch or facility comparison, and related decision-support functions.
These Terms of Service ("Terms") govern access to and use of Operis, including the website and authenticated application available at https://operisinsight.app
2. Acceptance and authority
By accessing or using Operis, you agree to these Terms. If you use Operis on behalf of an organisation, you confirm that you are authorised to use the Service for that organisation and to comply with its applicable policies and instructions.
Where a customer organisation has entered into a separate subscription agreement, order form, pilot agreement, Data Processing Agreement, Service Level Agreement, or other written contract with Bigeen, that agreement will prevail over these Terms to the extent of any conflict.
3. Accounts and authorised users
Operis accounts are intended for authorised users only. You must provide accurate account information, keep your credentials secure, and promptly notify your administrator or Bigeen if you suspect that your account has been compromised.
You must not share credentials, allow unauthorised persons to use your account, circumvent access controls, or access data outside the scope of your role or organisation. Customer administrators are responsible for assigning appropriate roles and promptly removing or updating access when responsibilities change.
4. Permitted use
Subject to these Terms and any applicable customer agreement, Bigeen grants authorised users a limited, non-exclusive, non-transferable right to access and use Operis for the internal business purposes approved by their organisation during the applicable subscription, pilot, or service period.
Operis must be used in accordance with applicable law, professional obligations, organisational policies, confidentiality requirements, and documented customer instructions.
5. Customer data and responsibility for content
As between Bigeen and the customer, the customer retains its rights in information lawfully submitted to Operis ("Customer Data"). The customer is responsible for determining what information may be entered into Operis, ensuring that it has a lawful basis to process that information, and ensuring that users enter information that is accurate, relevant, and appropriate for the approved purpose.
Users must not enter personal, clinical, confidential, or sensitive information that is unnecessary for the operational purpose. Where aggregated, coded, or non-identifying information is sufficient, that form should be used.
6. Privacy and data protection
Bigeen processes personal data in accordance with the Operis Privacy Policy, applicable data-protection law, and any Data Processing Agreement agreed with the customer. Customer organisations are responsible for their own notices, lawful bases, authorisations, and obligations as data controllers where applicable.
These Terms do not replace a Data Processing Agreement where one is required. Enterprise customers may request appropriate data-processing, security, confidentiality, and subprocessor terms as part of their commercial agreement.
7. AI Insights
Operis may include AI-assisted functionality that explains, summarises, or interprets operational metrics and trends. AI-generated content is provided as decision support and may be incomplete, inaccurate, or unsuitable for a particular context.
AI Insights is not a medical device, diagnostic service, clinical decision-support system, emergency response service, or substitute for professional judgement. Users must independently review AI-generated outputs before relying on them for operational, managerial, financial, regulatory, or clinical decisions.
Users must not intentionally submit unnecessary patient identifiers or sensitive personal information to AI functionality. Bigeen may apply technical or usage controls to reduce inappropriate or excessive disclosure to AI services.
8. Prohibited activities
You must not, and must not assist others to:
Use Operis for unlawful, fraudulent, discriminatory, abusive, or unauthorised purposes.
Access, attempt to access, or disclose information beyond your authorised role, organisation, branch, facility, or scope.
Probe, scan, defeat, bypass, disable, or interfere with authentication, security, rate limits, audit controls, or technical protections.
Upload malware, malicious code, or content designed to disrupt or compromise the Service.
Scrape, copy, reverse engineer, decompile, or attempt to derive source code except to the limited extent such restriction is prohibited by law.
Use Operis to build or train a competing product using Bigeen's proprietary software, interface, documentation, or confidential information without written permission.
Use another person's account, share credentials, impersonate another user, or falsify records.
Enter personal or sensitive data without appropriate authorisation or where the data is unnecessary for the stated purpose.
9. Google, Microsoft, and third-party services
Operis may integrate with third-party services, including identity providers, cloud infrastructure, communications services, and AI providers. Your use of a third-party service may also be subject to that provider's terms and privacy practices.
Bigeen is not responsible for services that are independently controlled by third parties, but we take reasonable steps to select and configure service providers appropriate to the intended use of Operis. Integrations may be changed, replaced, or discontinued where necessary for security, compliance, reliability, or product development.
10. Intellectual property
Operis, including its software, user interface, workflows, documentation, branding, reports, templates, and other Bigeen-created materials, is owned by Bigeen Solutions or its licensors and is protected by applicable intellectual-property laws.
Except for the limited right to use Operis under these Terms or an applicable customer agreement, no intellectual-property rights are transferred to users or customers. Customer Data remains subject to the customer's rights and applicable law.
11. Feedback
If you voluntarily provide suggestions, ideas, or feedback about Operis, Bigeen may use that feedback to improve the Service without restriction or payment, provided that Bigeen will not intentionally disclose customer confidential information as part of that use.
12. Service availability, maintenance, and changes
We may maintain, update, improve, modify, or replace parts of Operis to enhance functionality, security, reliability, usability, or compliance. We may also perform planned or emergency maintenance.
Unless a separate Service Level Agreement states otherwise, continuous or error-free availability is not guaranteed. Bigeen will use reasonable efforts to maintain the Service and to communicate material planned changes that significantly affect customer use.
13. Fees and commercial terms
Fees, subscription periods, payment terms, user or facility limits, implementation services, support levels, and renewal terms are governed by the applicable order form, proposal, pilot agreement, subscription agreement, or other written commercial arrangement between Bigeen and the customer.
Where Operis is provided for evaluation, pilot, or testing without a separate paid agreement, Bigeen may limit features, usage, support, or duration and may require a commercial agreement before continued production use.
14. Confidentiality
Users and customers must protect confidential information accessed through Operis and may use it only for authorised purposes. Bigeen will protect customer confidential information in accordance with the applicable customer agreement, data-protection obligations, and reasonable security practices.
15. Security responsibilities
Bigeen maintains security measures appropriate to the nature and risk of the Service. Customers and users also have security responsibilities, including maintaining appropriate access lists, using strong authentication, keeping credentials confidential, applying least privilege, promptly removing former users, and reporting suspected incidents without delay.
16. Suspension
Bigeen may suspend or restrict access where reasonably necessary to protect Operis, customer information, users, or third parties; to address suspected misuse or a security incident; to comply with law; or to address a material breach of these Terms or an applicable customer agreement. Where practicable, Bigeen will provide notice and work with the customer to restore access.
17. Termination and data handling
Access may end when the applicable subscription, pilot, employment relationship, or customer agreement ends, or when access is withdrawn by an authorised customer administrator. On termination, Customer Data will be handled in accordance with the applicable agreement, Privacy Policy, and any DPA, including agreed export, return, deletion, or backup-retention arrangements.
18. Disclaimers
Operis is provided as an operational reporting and intelligence platform. Except as expressly stated in a written customer agreement, and to the maximum extent permitted by applicable law, Bigeen does not warrant that the Service will be uninterrupted, error-free, or suitable for every customer workflow or regulatory requirement.
Customers remain responsible for their operational decisions, professional judgement, data accuracy, regulatory compliance, internal approvals, and the appropriate interpretation of reports or AI-generated insights.
19. Limitation of liability
To the maximum extent permitted by applicable law, Bigeen will not be liable under these Terms for indirect, incidental, special, exemplary, or consequential loss, or for loss of profits, revenue, goodwill, or anticipated savings arising solely from use of the Service. Any contractual liability cap or allocation of risk agreed with a customer will be governed by the applicable written customer agreement.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
20. Compliance with law
Each party is responsible for complying with laws and regulations applicable to its activities. In healthcare deployments, this may include data-protection, confidentiality, professional, clinical-governance, record-management, cybersecurity, and sector-specific requirements. Operis should be configured and used consistently with the customer's approved governance framework.
21. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, unless a written customer agreement expressly provides otherwise. The parties should first attempt in good faith to resolve disputes through discussion and escalation before commencing formal proceedings, subject to any dispute-resolution procedure in the applicable customer agreement.
22. Changes to these Terms
We may update these Terms to reflect changes to Operis, applicable law, security requirements, or commercial practices. The current version will be published on the Operis website with the effective date shown at the top. Material changes may also be communicated to customers or users through appropriate channels.
